Terms of Service

These Terms of Service ("Terms") govern your use of the Elastrix website and the software development, consulting, and related services we provide. By engaging Elastrix or using this website, you agree to these Terms.

1. Services & engagements

Each project is governed by a separate written agreement or statement of work (SOW) that defines scope, deliverables, timelines, and fees. In case of conflict, the SOW prevails over these Terms.

2. Client responsibilities

You agree to provide timely access to the information, systems, and personnel reasonably required for delivery, and to review deliverables within the agreed timeframes.

3. Fees & payment

Fees are set out in the applicable SOW. Unless otherwise agreed, invoices are due within 15 days of receipt. Late payments may incur interest at the rate specified in the SOW.

4. Intellectual property

Upon full payment, custom deliverables created specifically for you are assigned to you. Elastrix retains ownership of pre-existing tools, frameworks, and know-how, and grants you a perpetual license to use them as incorporated in your deliverables.

5. Confidentiality

Both parties agree to protect each other's confidential information with at least reasonable care, and not to disclose it except as necessary to perform the services or as required by law.

6. Warranties & limitation of liability

Services are provided on a professional, workmanlike basis. Except as required by law, Elastrix's total liability is limited to the fees paid for the services giving rise to the claim, and neither party is liable for indirect or consequential damages.

7. Termination

Either party may terminate an engagement on the notice specified in the SOW. You remain responsible for fees for work performed through the effective termination date.

8. Website use

Content on this website is provided for general information and may change without notice. You may not misuse the site, attempt to gain unauthorized access, or use it in violation of applicable law.

9. Governing law

These Terms are governed by the laws of Mexico, without regard to conflict-of-law principles.
